These Creator Partner Program Terms (the “Program Terms”) govern participation in the Geoship Creator Partner Program (the “Program”) offered by Geoship, Inc., a California social purpose corporation (“Geoship,” “Company,” “we,” or “us”).
These Program Terms are supplemental to, and should be read in conjunction with, the applicable terms of the Dub platform through which the Program is administered (the “Platform Terms”). In the event of a conflict between these Program Terms and the Platform Terms, these Program Terms shall control solely with respect to the subject matter herein.
By enrolling in or participating in the Program, you (“Creator,” “you,” or “Partner”) agree to be bound by these Program Terms.
1. Program Description
The Program is a performance-based marketing initiative under which approved Creators promote Geoship’s products and services using unique referral links or codes issued through the Dub platform. Creators may earn commissions based on qualifying referral activity, subject to these Program Terms.
Eligibility and Participation
Participation in the Program is subject to approval by Geoship in its sole discretion.
By participating, you represent and warrant that:
You are at least eighteen (18) years of age;
You have the full right, power, and authority to enter into and perform under these Program Terms;
All information provided in connection with your enrollment is accurate and complete.
Geoship reserves the right to approve, deny, suspend, or terminate participation at any time, with or without cause.
3. Creator Obligations
3.1 Content and Conduct
You agree to create and publish content that:
Is original or properly licensed;
Does not infringe upon the rights of any third party;
Is truthful, not misleading, and reflects your honest opinions and experiences.
You shall not make any representations, warranties, or claims regarding Geoship or its products that are not substantiated or expressly authorized by Geoship.
3.2 Legal and Regulatory Compliance
You shall comply with all applicable laws, rules, and regulations, including without limitation:
The Federal Trade Commission (FTC) guidelines regarding endorsements and testimonials;
All applicable advertising, marketing, and consumer protection laws.
You must clearly and conspicuously disclose your material connection to Geoship in all promotional content, in accordance with applicable law and platform requirements.
3.3 Use of Referral Links
You shall:
Use only referral links or codes provided through the Program;
Not alter, obscure, or misrepresent such links in a deceptive or misleading manner.
4. Commission Eligibility
4.1 Reservation Commission
Subject to compliance with these Program Terms, Creators may earn a commission of:
$100 USD per Qualified Reservation
A “Qualified Reservation” means a reservation that:
Is completed through the Creator’s unique referral link or code;
Results in a valid reservation deposit received by Geoship;
Is not canceled, refunded, or reversed.
Geoship reserves the right, in its sole discretion, to determine whether a transaction qualifies as a Qualified Reservation.
4.2 Adjustments and Disqualification
Geoship may, in its sole discretion:
Reject or reverse commissions associated with fraudulent, invalid, or non-compliant activity;
Withhold or offset commissions in the event of refunds, chargebacks, or policy violations.
Payment Terms
All commission payments are subject to:
Verification and approval by Geoship;
Applicable payout processes and requirements of the Dub platform.
Geoship shall have no obligation to pay commissions for:
Transactions that do not qualify under these Program Terms;
Activity that violates applicable law or these Program Terms.
You are solely responsible for:
Providing accurate payment and tax information;
Compliance with all tax obligations arising from payments received.
Intellectual Property
6.1 License to Geoship
You grant Geoship a non-exclusive, worldwide, royalty-free license to:
Use, reproduce, distribute, display, and publicly perform your content;
Repost, promote, and otherwise utilize such content for marketing, advertising, and internal purposes;
Use your name, likeness, and social media identifiers in connection with such content.
6.2 License to Creator
Geoship grants you a limited, non-exclusive, revocable license to use Geoship’s name, trademarks, and approved brand assets solely for purposes of participating in the Program and in accordance with any brand guidelines provided.
7. Prohibited Activities
You shall not:
Engage in fraudulent, deceptive, or misleading practices;
Generate artificial traffic, leads, or conversions through bots, scripts, or similar means;
Use unauthorized paid advertising or bid on Geoship-branded keywords without prior written consent;
Represent yourself as an employee, agent, or official representative of Geoship;
Promote Geoship in connection with unlawful, harmful, or inappropriate content.
Geoship reserves the right to investigate and take appropriate action, including immediate termination and forfeiture of commissions, in response to any suspected violation.
8. Independent Contractor Relationship
Nothing in these Program Terms shall be deemed to create any partnership, joint venture, agency, or employment relationship between you and Geoship.
You shall have no authority to bind Geoship to any obligation or agreement.
9. Term and Termination
Geoship may suspend or terminate your participation in the Program at any time, with or without notice, for any reason or no reason.
Upon termination:
You shall immediately cease use of all referral links, codes, and Geoship brand assets;
Any unpaid commissions may be forfeited in the event of a violation of these Program Terms.
10. Non-Disparagement
You agree not to make any false, misleading, or defamatory statements about Geoship, its products, or its affiliates.
Nothing herein shall restrict your right to provide truthful statements or opinions as required by law.
11. Limitation of Liability
To the fullest extent permitted by law, Geoship shall not be liable for any indirect, incidental, consequential, or special damages arising out of or in connection with the Program.
12. Modifications
Geoship reserves the right to modify or update these Program Terms at any time in its sole discretion. Continued participation in the Program constitutes acceptance of such modifications.
13. Governing Law
These Program Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.
14. Entire Agreement
These Program Terms constitute the entire agreement between you and Geoship with respect to the Program and supersede all prior or contemporaneous communications or agreements relating to the subject matter herein.
