These GeoGifts Program Terms (the “Program Terms”) govern your participation in the Geoship GeoGifts rewards program (the “Program”) offered by Geoship, Inc., a California social purpose corporation (“Geoship,” “Company,” “we,” “us,” or “our”).
By enrolling in or participating in the Program, you (“Participant,” “you,” or “your”) agree to be bound by these Program Terms.
1. Program Overview
The GeoGifts Program is a loyalty and rewards program under which eligible participants may earn non-cash, non-transferable points (“GeoCredits”) through qualifying activities designated by Geoship.
GeoCredits may be redeemed, subject to availability and applicable conditions, for Geoship-branded merchandise and other rewards (“Rewards”) made available through the Program.
GeoCredits are promotional in nature, have no cash value, and do not constitute property, currency, or any vested right.
Eligibility
To participate in the Program, you must:
Be at least eighteen (18) years of age;
Provide accurate and complete information as requested;
Comply with these Program Terms and all applicable laws.
Geoship reserves the right, in its sole discretion, to approve, deny, suspend, or revoke participation at any time.
3. Earning GeoCredits
GeoCredits may be awarded for actions determined by Geoship in its sole discretion, which may include, without limitation:
Referrals of new customers;
Engagement with Geoship campaigns or initiatives;
Participation in community, marketing, or promotional activities.
3.1 Qualification
GeoCredits are earned only upon completion of qualifying actions as defined by Geoship and subject to verification.
Geoship reserves the right to:
Determine eligibility of any activity;
Adjust, delay, or withhold GeoCredits pending validation;
Revoke GeoCredits associated with invalid, canceled, or fraudulent activity.
3.2 Referral-Based Earning (If Applicable)
Where GeoCredits are awarded for referrals, a referral will qualify only if:
The referred individual is a new customer;
The individual completes the required qualifying action (e.g., reservation deposit);
The action is not canceled, refunded, or otherwise invalidated.
Referral attribution shall be determined by Geoship systems and policies on a first-attribution basis.
4. GeoCredits
4.1 Nature of GeoCredits
GeoCredits:
Have no monetary value;
Are not redeemable for cash;
Are non-transferable and may not be sold, assigned, or exchanged;
Do not constitute property or create any vested rights.
4.2 Expiration and Forfeiture
Geoship reserves the right to:
Impose expiration dates on GeoCredits;
Forfeit unused GeoCredits after a specified period;
Cancel GeoCredits upon termination of your participation.
Redemption of Rewards
5.1 Reward Availability
Rewards, including Geoship merchandise, are:
Subject to availability;
Provided at Geoship’s sole discretion;
Subject to additional terms, conditions, or limitations.
5.2 Redemption Conditions
GeoCredits may be redeemed only through designated Program channels.
Redemption values, thresholds, and inventory are subject to change at any time.
All redemptions are final and non-refundable.
5.3 Substitution
Geoship reserves the right to substitute any Reward with another of equal or greater value at its sole discretion.
Restrictions and Prohibited Conduct
You agree not to:
Engage in fraudulent, deceptive, or abusive conduct;
Attempt to manipulate or exploit the Program or GeoCredit system;
Use automated systems, bots, or scripts to generate activity;
Violate any applicable laws or third-party rights;
Promote the Program in a misleading, spam-like, or unlawful manner.
Geoship may investigate all activity and take any action it deems appropriate, including suspension, termination, and forfeiture of GeoCredits.
7. Taxes
You are solely responsible for any federal, state, or local taxes arising from participation in the Program or receipt of Rewards.
8. Relationship of Parties
Participation in the Program does not create any employment, agency, partnership, or joint venture relationship between you and Geoship.
You have no authority to bind Geoship in any respect.
9. Term and Termination
Geoship may, at any time and in its sole discretion:
Modify, suspend, or terminate the Program;
Suspend or terminate your participation;
Cancel or revoke any GeoCredits or Rewards.
Upon termination:
All unredeemed GeoCredits may be forfeited;
You must cease all participation in the Program.
Geoship shall have no liability for any such actions.
10. Communications
By participating, you agree to receive communications related to the Program. You may opt out of non-essential communications in accordance with applicable law.
11. Disclaimer
The Program and all Rewards are provided on an “as is” and “as available” basis.
Geoship makes no representations or warranties regarding:
Availability of the Program or Rewards;
Accuracy or completeness of any Program-related information;
Any results or benefits from participation.
12. Limitation of Liability
To the fullest extent permitted by law, Geoship shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to the Program.
13. Indemnification
You agree to defend, indemnify, and hold harmless Geoship and its affiliates from any claims, damages, or liabilities arising out of or related to:
Your participation in the Program;
Your violation of these Program Terms;
Your violation of applicable laws or third-party rights.
14. Modifications
Geoship reserves the right to modify these Program Terms at any time.
Continued participation in the Program constitutes acceptance of any updated terms.
15. Governing Law
These Program Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.
16. Entire Agreement
These Program Terms constitute the entire agreement between you and Geoship regarding the Program and supersede all prior or contemporaneous communications relating to the subject matter herein.
